Association Bylaws
ARTICLE I NAME OF THE ORGANIZATION Section A. The name of the organization shall be the Conyers Middle School Music Boosters Association and shall be referred to in these bylaws as “THE ASSOCIATION”.
ARTICLE II OBJECTIVES Section A. Objectives related to the music program.
To create and maintain an enthusiastic interest in music at ConyersMiddle School.
To organize, sponsor, and support projects in both the band and chorus program at ConyersMiddle School.
To purchase, receive, develop, and maintain equipment and supplies for the band and chorus program as outlined in the current approved budget.
To do any and all things incidental and necessary for the accomplishment of the foregoing.
To cooperate with the Conyers Middle School Band Director, Chorus Director and Principal (s) in maintaining a high level of participation and performance. This association shall see neither to direct the administrative activities of the band and chorus nor to control their policies.
Section B. Objectives related to the operation of THE ASSOCIATION:
To build and maintain an organization of parents and other interested individuals which will help the activities under the auspices of the Conyers Middle School Band Director, the Conyers Middle School Chorus Director, or both.
Note: Nothing in these bylaws shall imply that THE ASSOCIATION has any authority through any of its policies or actions to determine membership or qualification or conditions of membership in either the Conyers Middle School Band Program or the Conyers Middle School Chorus Program.
ARTICLE III MEMBERSHIP Section A. Membership is open to all parents or legal guardians of students in the band, the chorus or both. It is also open to all patrons or associate members interested in the welfare and progress of the music program. Section B. “Band” is defined as all units under the direction of the Band Director. Section C. “Chorus” is defined as all units under the direction of the Chorus Director. Section D. An ACTIVE member is one who has a student enrolled in either the Conyers Middle School Band program or the ConyersMiddle School Chorus program or both programs for at least one semester of the current school year. Section E. The voting membership shall consist of parents and/or guardians of the participating students in either the Conyers Middle School Band program, the Conyers Middle School Chorus program or both programs.
ARTICLE IV GENERAL MEMBERSHIP MEETINGS Section A. At least 2 meetings of the general membership shall be held during each school year and at least 1 meeting per semester. Section B. The President, a majority of the Executive Board, or both the Conyers Middle School Band and Chorus Directors in conjunction with either the President or Vice President may call special general membership meetings. Section C. The general membership meetings of THE ASSOCIATION and the meetings of the Executive Board shall be open to all members of THE ASSOCIATION, and members shall be notified of these meetings. Section D. A quorum shall consist of the voting members present at the general membership meeting.
ARTICLE V ORGANIZATION Section A. Officers 1. The elected officers of THE ASSOCIATION shall consist of a President, Vice President, Secretary, and Treasurer. Both the positions of President and Vice President can be held jointly (Co-Presidents and/or Co-Vice Presidents) at need. Only voting members are eligible to be elected an officer of THE ASSOCIATION. 2. The President or Co-Presidents shall preside at all meetings of THE ASSOCIATION, shall appoint all ad hoc committee chairpersons, and shall be an ex officio member of all ad hoc and standing committees of THE ASSOCATION. 3. The Vice President or Co-Vice Presidents shall assume all duties of the President in those instances where the President or Co-Presidents are unable to preside or officiate. The Vice President(s) will also coordinate membership development. 4. The Secretary shall keep written records and minutes of all meetings and shall establish them in a permanent file. The Secretary will also be responsible for correspondence for THE ASSOCIATION. 5. The Treasurer shall keep an accurate record of all receipts and disbursements showing each activity separately, as well as a complete record of all funds, including individual student accounts (should they need to be established), in accordance with generally accepted accounting practices. A report shall be prepared and submitted for approval (subject to audit) by the Executive Board, at least twice yearly at its Executive Board Meetings. 6. Officers Elected at the general membership meetings in May shall hold office from July 1 of the present year to June 30 of the next school year. 7. In the event of the vacancy of any elected office, the Executive Board shall appoint a voting member to complete the term of the vacant office. Section B. Committees Association committees shall include the Executive Board standing committees, and ad hoc committees as may be designated by the President(s). Any member of THE ASSOCIATION is eligible to serve as a committee member. Standing committee chairpersons shall be appointed by the elected officers, the Band Director, and the Chorus Director. Ex officio Members: The Conyers Middle School Band Director, The Conyers Middle School Chorus Director and the Principal (or representative) shall serve as ex officio members of all committees but shall not vote at committee meetings. Executive Board 1.1 The Executive Board shall be composed of the elected officers of THE ASSOCIATION, the Conyers Middle School Band Director, Chorus Director, and Principal (or representative). 1.2 The Executive Board shall meet regularly before each general meeting. The President, The Band Director, and/or The Chorus Director may call special meetings of the Executive Board. 1.3 A quorum at the executive meeting shall consist of at least three (3) board member positions. Standing Committees The President(s) and/or Board may form Standing Committees, task forces and/or other Committees of the Membership to carry out the functions needed by THE ASSOCATION.
ARTICLE VI FINANCIAL OPERATIONS Section A. The fiscal year of THE ASSOCIATION is July 1 of the current calendar year through June 30 of the next calendar year. Section B. The treasurer shall be required to prepare a fiscal year financial report at the close of his/her term and file copies of the report with the Executive Board and with such other internal or external groups of individuals as the Executive Board shall direct. The annual fiscal year and financial report shall become a part of the permanent records of THE ASSOCIATION. Section C. The outgoing officers shall be responsible for arranging for an audit of the books within 60 days after the end of the fiscal year if there is a change of officers. A third party who was not a member of the outgoing board and is not a member of the incoming board must conduct the audit. Section D. Fiscal Year Budget: Annually, a budget committee composed of the elected officers, the Band Director, and the Chorus Director shall recommend a budget for the following fiscal year. Section E. Contracts, Loans, Checks, Deposits, and Salaries
Contracts: The officers may authorize any officer or officers, agent or agents to enter into any contract or execute and deliver an instrument in the name of and on behalf of THE ASSOCATION, and such authority may be general or confined to specific instances. All contracts must first be voted on and approved by THE ASSOCIATION according to Articles III and IV.
Loans: No loans shall be contracted on behalf of THE ASSOCATION and no evidences of indebtedness shall be issued in its name unless authorized by a resolution of the Officers. Checks, Drafts, ETC.: All checks, drafts, or other orders for the payment of money, notes or other evidences of indebtedness issued in the name of THE ASSOCIATION shall be signed by two or more officers of THE ASSOCIATION and in such manner as shall from time to time, be determined by resolution of the officers.
Deposits: All funds of THE ASSOCIATION not otherwise employed shall be deposited, from time to time, to the credit of THE ASSOCIATION in such banks, trust companies, or other depositories as the officers may select.
Salaries: There shall be no salaries for any officer of THE ASSOCIATION.
ARTICLE VIII OPERATIONS Section A. The Executive Board may establish policies and procedures for the operation of THE ASSOCIATION. Members of THE ASSOCIATION shall be provided copies of these policies and procedures annually. Section B. The Executive Board is empowered to act on behalf of THE ASSOCIATION. However, by a two thirds (2/3) vote of THE ASSOCIATION members present and voting at a general meeting, The association members may override an action of the Executive Board. Section C. The provisions of the most recent edition of Robert’s Rules of Order shall govern THE ASSOCIATION in all cases to which they are applicable and procedures of THE ASSOCIATION.
ARTICLE IX AMMENDMENTS TO BYLAWS Section A. These bylaws shall become effective immediately following approval by THE ASSOCIATION. Section B. Amendments to these bylaws shall become effective immediately upon approval by a two-thirds (2.3) vote of THE ASSOCIATION members present and voting at a general membership meeting, provided the proposed amendments have been submitted in writing to the Executive Board at least 30 days prior to the general membership meeting and to THE ASSOCIATION membership at least fifteen (15) days prior to the general membership meeting.
